 Distribution Agreement Indiebandhub v.10-12-2011
OK: Another redo with simple English. This version supersedes all previous agreements.

Distribution Agreement between "IndieBandHub.com and you the Artist:

1) Artist & IndieBandHub.com agrees that this agreement is non-exclusive worldwide agreement and that you (ARTIST) may enter into other agreements (i.e. record companies, management, publishing, etc.) freely at any time.

2) Artist agrees to be a member of this community web site and may cancel if you give us 14 days written notice.

3) This site does not officially represent Belmont University and members do not need to be associated with Belmont University. However, if you or your music is offensive—we will not distribute it. Lets use common sense. Students monitor content—for most…this is not any issue.

4) You (Artist) agree to allow us (IndieBandhub.com) to use any of your available online content or content submitted to us—such as music, photos/likeness, logos, bio/history, and video clips pulled from YouTube for promotion and display on the INDIEBANDHUB web site at no charge or fee. This includes right to market your content online, as well as traditional “brick & Mortar” outlets (Print/retail/radio).

5) We can also (with your permission) create this same content for you as well—as part of class projects (This is limited to availability).

6) We cannot pay for licensing cover tunes, so all material submitted must be 100% controlled and owned by you the ARTIST.

7) 100% of any income derived from Artist member sales, downloads, or activity will be paid when collected to each participant artist.

8) Indiebandhub is authorized (within this web site) to set price, promotion, and bundling with other products available for the Artist--especially when experimenting with web traffic enhancement. 

9) You the artist agrees that any materials furnished to INDIEBANDHUB for distribution and sale does not infringe upon any third party and ARTIST indemnifies INDIEBANDHUB from any loss or damages (including attorney’s fees) it may incur as a result of ARTIST’S infringing actions.

10) All revenue accounts are open to ARTIST during normal business hours. INDIEBANDHUB does not own or accept ownership of any masters, song, publishing, or material content at any time.

11) TERMINATION: ARTIST may terminate this Agreement upon ninety (14) days written notice. Nothing contained in this Agreement shall be meant to establish either INDIEBANDHUB or ARTIST a partner, joint venture or employee of the other party for any purpose. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Tennessee. All disputes will be resolved in the appropriate courts of Davidson County, Tennessee. Further, ARTIST agrees to hold INDIEBANDHUB harmless for any loss or damage (including reasonable attorney’s fees and court costs) that may occur as a result of any material breach by ARTIST or COMPANY of the terms of this Agreement.
